TISABOT.COM — VENDOR TERMS & CONDITIONS Last Updated: 11th December, 2025 These Vendor Terms & Conditions (“Terms”) govern your (“Vendor”, “You”, “Your”) use of Tisabot.com (“Platform”, “We”, “Us”), a WhatsApp marketing and automation solution powered by the WhatsJet SaaS infrastructure. By registering as a Vendor, integrating your WhatsApp line, or using any service provided by Tisabot.com, you agree to be bound by these Terms. --- 1. Definitions * Platform: Tisabot.com, including its dashboard, APIs, WhatsApp automation tools, messaging services, and analytics. * Vendor: Any business, organization, or individual approved to use Tisabot.com to run marketing, communication, or automation services. * End-Users: Customers or recipients of a Vendor’s messages or campaigns. * WhatsApp Business API: The messaging infrastructure provided by WhatsApp used for automated communication features. * Content: Any text, media, campaigns, broadcasts, or data uploaded or transmitted through the Platform. --- 2. Eligibility & Vendor Obligations By using Tisabot.com, You confirm that: 1. You operate a legitimate business, organization, or service. 2. You have full authority to bind the entity you represent. 3. Your use of WhatsApp conforms to Meta/WhatsApp Business Policies, including but not limited to: * Prohibition of spam and unsolicited messages * Proper use of templates and opt-in * Data protection and privacy obligations 4. You agree to provide accurate information during onboarding and update it when necessary. You must maintain secure account login details and are responsible for all activities carried out under your account. --- 3. Acceptable Use Vendors must not use the Platform for: * Sending spam or unsolicited promotional messages. * Promoting illegal, harmful, or fraudulent products/services. * Distributing prohibited content (hate speech, adult content, violence, drugs, political propaganda, etc.). * Violating WhatsApp’s Commerce or Business Messaging Policies. * Harvesting or uploading customer data without explicit consent. Tisabot.com reserves the right to suspend or terminate accounts violating these rules. --- 4. Messaging & Compliance Requirements Vendors must: 1. Obtain explicit user consent before sending WhatsApp messages. 2. Use approved WhatsApp message templates where required. 3. Maintain compliance with: * WhatsApp Business Policy * Local and international data laws (e.g., NDPR/GDPR, where applicable) * Anti-spam regulations You acknowledge that WhatsApp may restrict or block numbers that violate their policies. Tisabot.com is not liable for number bans or WhatsApp enforcement actions. --- 5. Billing, Payments, and Fees * Vendors agree to pay all subscription and usage charges as displayed on the Platform. * Fees include (but are not limited to): * WhatsApp message credit costs * Number hosting or cloud API charges * Subscription tiers or add-ons * All charges are non-refundable, except where required by law. * Failure to make payments may lead to: * Service suspension * Inability to send messages * Account termination --- 6. Content Ownership & Responsibility * Vendors retain ownership of all content uploaded. * Vendors assume full responsibility for the legality, accuracy, and appropriateness of their content. * Tisabot.com may monitor or review content for compliance and may remove or block any content that violates policy. --- 7. Data Protection & Privacy We implement reasonable security controls to protect Vendor and End-User data. Vendors agree to: * Handle customer data responsibly. * Use data only for permitted and disclosed purposes. * Not share or sell customer data obtained through the Platform. Tisabot.com may collect system usage data to improve operational efficiency. We do not sell your data to external parties. --- 8. Service Availability & Limitations Tisabot.com strives to maintain high availability but does not guarantee: * Uninterrupted service * Error-free performance * Message delivery in all circumstances (e.g., WhatsApp outages, telecom delays) We are not liable for losses resulting from downtime, API disruptions, or third-party failures (such as Meta/WhatsApp network issues). --- 9. Suspension or Termination We may suspend or terminate your access to the Platform if: * You violate these Terms * You violate WhatsApp or Meta policies * You engage in fraudulent or illegal activity * Payments are overdue * Your activities pose reputational, technical, or legal risk to the Platform Vendors may terminate their account at any time by submitting a request through support. --- 10. Intellectual Property All Platform features, trademarks, logos, designs, and source code remain the exclusive property of Tisabot.com. Vendors are granted a limited, non-exclusive, revocable license to use the services during their paid subscription. --- 11. Indemnification Vendors agree to indemnify and hold harmless Tisabot.com, its operators, partners, and affiliates from any claims, damages, fines, or losses arising from: * Policy violations * Illegal or harmful content * Misuse of WhatsApp or the Platform * Data breaches caused by the Vendor’s negligence --- 12. Limitation of Liability To the maximum extent permitted by law, Tisabot.com is not liable for: * Loss of revenue, business, or data * WhatsApp account bans or restrictions * Indirect or consequential damages * Errors arising from integrations, third-party services, or API changes Our liability is limited to the total amount paid by the Vendor in the last 60 days. --- 13. Updates to Terms Tisabot.com may update these Terms from time to time. Continued use of the Platform indicates acceptance of updated Terms. --- 14. Governing Law These Terms are governed by the laws of Nigeria, without regard to conflict-of-law principles. Any disputes shall be resolved in competent courts within Nigeria. --- 15.
